Tiantai Facilitates Gardens Group of Shanghai Construction Group to Acquire Shanghai Greenment

Shanghai Gardens Group Co., Ltd. of Shanghai Construction Group held the acquisition ceremony on September 23, 2020 for its acquisition of Shanghai Greenment Environmental Technology Company (“Shanghai Greenment” for short) with RMB327 million. Tiantai served as the legal advisor of Shanghai Greenment, the acquiree of the deal.

Reorganized from the former North Asia Environment Business Unit of CH2M Hill, Shanghai Greenment owns 40-plus patents and is a high-and-new-tech enterprise. As a leading specialised firm in China in terms of polluted site survey, risk assessment, restoration plan compilation and restoration project executor, Shanghai Greenment has completed more than 600 polluted site management consulting projects in the past three years and mainly specializes in soil pollution survey and restoration, environment planning and assessment, environment, safety and occupational health management and technical consultancy. Founded in 1993, Shanghai Gardens Group Co., Ltd. possesses the qualifications of landscape architecture design, urban-rural planning, Grade III Level A architectural design, Grade I ancient architecture design, municipal administration, environmental protection, cultural protection, decoration, water conservancy and hydropower projects. The participation of Shanghai Greenment will empower the double-main business development strategy of “landscape architecture and environmental engineering” of the ecological garden segment of Shanghai Construction Group, and effectively enhance the comprehensive competence in environmental survey, analysis and test, risk assessment, governance and restoration, engineering design and construction, operation and maintenance and other fields. Under the entrustment of Shanghai Greenment, Partners and Lawyers Dehong BU and Yulong WANG of Tiantai’s Shanghai Office fully participated in and coordinated with the due diligence of the deal, design of the transaction structure, review and revision of the transaction document, legal and business negotiation, among other crucial links, and won the unanimous praise from the client and other project parties.
