    William received his LL.M. from Case Western Reserve University School of Law and has on-the-ground experience working in Los Angeles. He advises Chinese companies on the legal and commercial issues arising from U.S. expansion, including entity formation, state selection, LLC and corporation structuring, equity arrangements, supplier onboarding, contract review and negotiation, sanctions and export control compliance, cross-border data compliance, customs and import compliance, retail channel entry, and dispute coordination.
    William is known for providing commercially practical advice that aligns legal documentation with clients’ operational needs. His work often involves coordinating among Chinese clients, U.S. counsel, customs brokers, logistics providers, commercial partners, and other service providers to help clients manage legal, compliance, and execution risks in cross-border projects.

Representative Experience

  • William has participated in or led a range of China-U.S. cross-border matters, including:
    1.Advised a Nevada company on entity formation and equity structuring, including state selection analysis, operating agreement drafting, and corporate governance arrangements;
    2.Advised on the legal structuring of a tripartite service arrangement involving a Nevada foreign trade zone (FTZ), including the allocation of rights and obligations among the client, service provider, and FTZ operator;
    3.Assisted a Zhejiang-based energy company in responding to alleged U.S. Iran sanctions issues, including OFAC-related regulatory response, exemption application support, and cross-border legal analysis;
    4.Advised a Texas technology company on equity design and ongoing compliance matters, including the preparation of bylaws, board resolutions, shareholder agreements, operating agreements, equity subscription agreements, and employment-related documentation;
    5.Advised a California home goods brand on supply chain compliance matters, including the relocation of supply chain operations from China to Vietnam and Indonesia, rules of origin analysis, anti-circumvention risk assessment, and cross-border tax planning;
    6.Assisted a California lifestyle brand with market entry into Thailand and Vietnam, including local entity formation, FDI approval, intellectual property protection strategy, joint venture arrangements, and licensing structures;
    7.Advised a Taizhou-based home goods manufacturer on entry into a major U.S. retail channel, including supplier qualification review, contract negotiation, U.S. customs and import compliance review, and channel implementation support;
    8.Assisted a sports brand with U.S. influencer and KOL cooperation matters, including influencer agreement drafting and negotiation, FTC disclosure compliance review, IP licensing provisions, and brand protection strategy;
    Coordinated multiple private client cross-border matters involving California trust formation and personal bankruptcy, including wealth succession planning, asset protection, and debt restructuring arrangements.
